These Terms and Conditions ("Terms") govern your access to and use of our web-based and web application services (the "Platform"), which connect businesses ("Clients") with outsourced CFO professionals ("CFO Professionals") for on-demand financial leadership, strategic guidance, and compliance support. By using our Platform, you agree to be bound by these Terms.

2. Services Offered

• Engage fractional, interim, or project-based CFO services
• Schedule consultations, strategy sessions, and ongoing advisory support
• Access financial tools, reports, templates, and analytics dashboards

• Offer their services to vetted Clients
• Manage engagements and billing
• Access collaboration tools and secure file sharing

3. User Eligibility and Registration

• Be at least 18 years old
• Provide accurate and complete registration information
• Agree to use the Platform for lawful purposes only

CFO Professionals must meet our vetting and qualification standards before being approved to offer services.

4. Terms of Use

• Maintain the confidentiality of login credentials
• Use the Platform only for its intended purpose
• Not misuse, reverse-engineer, or interfere with the operation of the Platform
• Comply with all applicable laws and regulations

5. Payments and Cancellation

• Payment terms for services rendered are agreed upon during engagement between the Clients and CFO Professionals
• The Platform may process payments or use third-party processors on behalf of CFO Professionals
• Clients may cancel services with notice, subject to the terms of their specific engagement
• CFO Professionals may also terminate services with appropriate notice and under contractual obligations

6. Intellectual Property

All content, trademarks, technology, and tools available through the Platform are the property of The CFO Advisory Services or its licensors. Users may not reproduce, distribute, or create derivative works without express written permission.

7. Disclaimers and Limitation of Liability

• CFO Professionals provide services independently. We do not guarantee specific outcomes or assume liability for financial decisions made by Clients
• While we vet CFO Professionals, we are not responsible for their advice, performance, or the results of their engagements
• The Platform is provided "as is," and we disclaim all warranties, express or implied

8. Dispute Resolution and Governing Law

Any disputes, controversies, or claims arising out of or relating to these Terms or the use of the Platform shall be resolved through binding arbitration administered by the ADR Institute of Canada (ADRIC) under its Arbitration Rules. The arbitration shall be conducted in English and take place in New Brunswick, Canada.

These Terms and any related disputes shall be governed by and construed under the laws of Canada and the applicable laws of the Province of New Brunswick, without regard to conflict of law principles.

9. Termination and Suspension

We reserve the right to suspend or terminate any user account at our discretion for violations of these Terms, fraudulent activity, or behavior deemed harmful to the Platform or other users.

10. Changes to These Terms

We may update these Terms from time to time. Continued use of the Platform after such changes constitutes acceptance of the revised Terms.
